1. Parties and scope
This agreement is made between Mind Your Ads, a Research Analyst registered with SEBI under registration number INH000000000 having its office at Office No. 704, 7th Floor, Solitaire Business Hub, Baner Road, Pune, Maharashtra 411045 (“the Research Analyst”), and the person whose details are recorded in the consent form below (“the Client”).
It records the terms on which the Research Analyst will provide research services to the Client. It comes into effect on the date the Client signs it electronically and remains in force for the subscribed period unless terminated earlier in accordance with clause 11.
2. Nature of the service
The Research Analyst provides research recommendations only. The Research Analyst shall not, and is not permitted to: accept custody of the Client's funds or securities; execute any trade on the Client's behalf; hold any power of attorney over the Client's account; or offer, promise or indicate any assured or guaranteed return.
3. Client information and risk profiling
The Client shall provide accurate identity, contact, income and experience details, and shall update them on change. The Research Analyst will assess the Client's risk profile and shall not recommend a service that is manifestly unsuitable for it. The Client acknowledges that recommendations are general in nature and not tailored to the Client's individual portfolio unless expressly agreed.
4. Fees
The fee for the subscribed service is as stated at the time of subscription and shall not exceed the ceiling prescribed by SEBI for Research Analysts. Fees are exclusive of GST unless stated. Fees are payable in advance, by banking channel only, into the account of the Research Analyst notified on its website. A tax invoice shall be issued to the Client's registered email.
5. Delivery
Research shall be delivered to the mobile number and email address registered by the Client, by SMS, WhatsApp and/or email. The Client consents to receive these communications notwithstanding registration under the DND registry.
6. Client obligations
- To take independent decisions and to be solely responsible for all trades placed.
- To deploy only such capital as the Client can afford to lose, and not borrowed funds.
- To keep the research confidential and not to redistribute, resell or publish it.
- Not to share trading account credentials with the Research Analyst or any other person.
7. Risk acknowledgement
The Client acknowledges that investment in securities is subject to market risk; that derivative trading is leveraged and can produce losses exceeding the margin deposited; that past performance is not indicative of future results; and that the Research Analyst gives no assurance of profit or protection of capital.
8. Conflicts of interest
The Research Analyst shall disclose in its reports any financial interest, holding of 1% or more, or other material conflict in relation to a subject company, and maintains an internal policy governing personal dealing by its analysts.
9. Confidentiality and data
Each party shall keep the other's confidential information secure. The Research Analyst shall process the Client's personal data in accordance with its Privacy Policy and shall retain records for the period prescribed by SEBI.
10. Liability
The Research Analyst's aggregate liability under this agreement is limited to the fee paid by the Client for the three months preceding the claim. The Research Analyst is not liable for trading losses or for indirect or consequential loss.
11. Termination
Either party may terminate on written notice. The Research Analyst may terminate immediately for breach, including redistribution of research or provision of false information. Refunds on termination are governed by the published Refund Policy.
12. Grievances and dispute resolution
Grievances shall be raised in accordance with the published grievance redressal process, escalated to SEBI SCORES if unresolved within 30 days, and thereafter through the Online Dispute Resolution mechanism at smartodr.in. This agreement is governed by Indian law.
13. Amendment
Any amendment required by a change in law or SEBI direction takes effect automatically. Any other amendment requires the written agreement of both parties.
14. Declaration by the Client
The Client declares that the information provided is true, that the Client has read and understood this agreement, the Disclaimer, the Standard Disclosures, the Terms & Conditions and the Refund Policy, and that the Client accepts them in full. The Client further confirms that no assurance of return has been given to the Client by the Research Analyst or by any person acting on its behalf.
